This Agreement is intended to reiterate and clarify our mutual expectations. in order to address specific issues within the organization and for the purpose of supporting the provision of legal advice regarding issues within the UW Board's purview, you are engaging a representative to conduct a preliminary investigation of the matter in contemplation of a more formal investigation considered attorney-client privileged and attorney work product. The preliminary investigation will include contacting potential witnesses. document review. and an oral summary or written report at your discretion. Should a more formal investigation be indicated at your direction. the investigator will develop a record of allegations and relevant evidence to enable the UW Board with support of its legal counsel to make informed decisions regarding the circumstances, including potential remedial action. At your discretion, this material will be presented in an investigation Report that details and summarizes the process, procedures. and information involved. Typically, the investigation Report is provided approximately one week after the conclusion of interviews. The UW Board and you determine investigation scope in collaboration with EM FIG. All participants are informed of the investigator's purpose in this process, which is to conduct an appropriate investigation one that is prompt, impartial, and thorough. Within investigation scope, it is understood and agreed that the UW Board and its representatives will support the investigator?s purpose by providing UWlLeePubllcations HA000370 reasonable access to people and evidence at the investigator's independent discretion. Participants will be asked to assist the investigator in drafting individual summary statements intended to represent individual perspectives regarding the relevant scope of issues. All participants are informed of expectations of con?dentiality, the UW Board?s prohibition against retaliation for initiating the investigation or participating in the investigation. and the UW Board's expectation that he or she provide complete and truthful information. Interviews conclude with the participant's opportunity to modify his or her summary statement to support accuracy and veracity as attested to by his or her signature. The assistance of a representative of the UW Board in scheduling/coordinating interviews moving forward is appreciated, though the investigator, whom may also arrange additional interviews, will pursue preliminary telephone interviews. This Agreement does not create an employment relationship between the UW Board and EM F10. The UW Board agrees to pay for services rendered by EMFIG under this Agreement irreSpective of the ?ndings or outcomes of the investigation. EMFIG will treat as strictly con?dential all information and evidence related to this investigation. EM FIG will not disclose information or evidence related to this investigation to any third party. unless requested by the UW Board or as compelled to do so by legal process. EM will notify the UW Board and/or its legal counsel of any third party request or demand for such confidential information. Any documents. electronic communications or other tangible evidence obtained by EM FIG in the course of this investigation is deemed the property of the UW Board. All documents. materials, notes or electronic materials created by EMFIG during this investigation will be provided to the UW Board or its designated legal counsel upon completion. EM FIG will retain a con fidentiai investigation file on the matter for ten (10) years. Your signature below represents authorization on behalf of the UW Board to retain EMFIG under this Agreement and that the UW Board agrees to pay for services rendered under this Agreement. The hourly rate for this investigation including document review, interview preparation, conducting and documenting interviews. and preparing an investigation Report or provision of an oral summary at your discretion is $225.00 per hour. The hourly rate for the investigator's travel time by automobile for this investigation is 100.00 per hour for up to two hours in one day and $225.00 per hour thereafter. The UW Board is responsible for the investigator?s overnight travel expenses, including lodging. meals. airfare, parking. rental car or alternative transport as supported by reasonable documentation. Where EMFIG or the investigator?s participation is later sought or required In the course of litigation. administrative process or other appeal. the UW Board will be billed at the investigation hourly rate for this engagement ($225.00 per hour). EMFIG will provide billing status updates during the course of the project at your discretion. UWILeePublicaiions HA000371 The UW Board agrees to be billed directly for services under this Agreement. agrees to pay for any work performed on the investigation before the date of this Agreement. but after retention [agreed to verbally or by email), and agrees to make payment of invoices under this Agreement within thirty (3 0] days of receipt. Where the duration of the investigation exceeds one calendar month. EM FIG reserves discretion to send multiple invoices to obtain prompt payment. Professional Liability] Malpractice Insurance During the term ofthis engagement 1 will maintain. in full force and effect. professional liability insurance covering any damages caused by an error. omission or any negligent acts with limits of not less than $1,000,000 per occurrence and in the aggregate. i will notify you immediately in writing if this coverage is no longer in effect. Our obligations pursuant to this section shall continue during the entire period that any liability may arise and these obligations shall survive the expiration or earlier termination of these terms and conditions. Nothing in this section shall limit any greater obligation imposed upon us by law for professional liability insurance. Con?icts of interest An important issue continually analyzed by EMFIG during any client relationship is whether an ethical con?ict of interest is created by EM FlG's performance of the work requested. At this time. I am not aware of any con?icts that would preclude me from undertaking the subject investigation. Should the UW Board or EMFIG become aware of a potential con?ict at any later time. i welcome the opportunity to identify and resolve any concerns in accordance with the Rules of Professional Conduct. integrity of Work Product in the course of the investigation. EMFIG may prepare or revise documents that are transmitted electronically to you or other parties. EMFIG will not be responsible and shall have no liability for any consequences whatsoever arising out of or resulting from a document that is modified by the UW Board or a third party after it has left EM FiG's control regardless ofwhether such document is used for this matter or any other purpose. Client Documents We mutually agree that all client-supplied materials and all investigation materials and reports ("client material") are the property of the UW Board. You are entitled. upon written request. to any ?les in possession relating to the investigation services performed by for the UW Board. excluding any attorney work product. and other documents not reasonably necessary to your representation. subject to EMFIG's right to make copies of any files withdrawn by you. EMFIG's document retention policy is to destroy files ten years after the matter is closed. unless you make other prior arrangements with me. The UW Board is obligated to keep BM FIG informed of current address/contact information for as long as EMFIG retains materials related to your ?le. Dr. Nichols then stated that we are not allowed to bring anyone Into their home who is allergic to cats or afraid of dogs and that it is a prlvelege to work In their home and we know perfectly well that they have pets and having someone work there who is afraid of dogs was not acceptable. She told me that it was not okay for someone to be crying over her dog, which surprised me because I did not see .cry. i asked, "She was crying?" -sald, ?She was whimpering and crying". I told Laurie and ?that i would have to leave to take. back to Crane. When she asked why, I said that if she wanted- to leave, that i would hate to take her and that would leave the event with no staff because I had already sent? back to replace the cha?ng dish. At this point, I was getting very upset and it was visibly noticable so I decided to leave. i told them am going to leave right now and I will come back to finish setting up.? When I returned to the home after dropping nback at Crane, several guests had already arrived for the evant. I was still quite upset, and after talking to?decided it best for me to leave the event and come back afterwards to clean up.
